Nature Shire Buyer Terms and Conditions

Last updated: 23 October 2026

1. Introduction and definitions

These Buyer Terms and Conditions (the “Terms”) are a binding agreement between Canuck Global Marketplace Limited, a company of British Columbia, Canada, trading as Nature Shire (“Nature Shire”, “we”, “us” or “our”), and the business that registers as a buyer on the Platform (the “Buyer” or “you”). By ticking “I agree” at registration, or by placing any order, you accept these Terms on behalf of your business and confirm that you are authorised to do so. If you do not agree, do not register or use the Platform.

In these Terms:

  • “Platform” means the Nature Shire website at www.natureshire.com, including The Shelf, the buyer panel and related services.
  • “Seller” means a producer, brand owner or supplier whose products are listed on the Platform.
  • “Products” means the food, beverage and related goods listed on the Platform, including samples.
  • “Order” means an order you submit through the Platform that Nature Shire has verified and for which it has issued a final invoice.
  • “Final Invoice” means the invoice Nature Shire issues for an Order after verification, showing the Products, prices, charges, discounts and total payable.
  • “Incoterms” means the International Chamber of Commerce Incoterms® 2020 rules.
  • “Business Day” means a day other than a Saturday, Sunday or statutory holiday in British Columbia.

The Platform is for business-to-business trade only. Headings are for convenience, and “including” means “including without limitation”.

2. Eligibility, account and approval

2.1 To register you must be a business that buys food and beverage products for resale, distribution, food service or manufacturing, such as an importer, distributor, wholesaler or retailer. You may not register or buy as a consumer.

2.2 Every registration is reviewed by Nature Shire. We may ask for trade licences, company registration, import permits or other evidence, and we may approve, decline, suspend or close any account at our discretion. Until your account is approved you cannot place orders.

2.3 You must give accurate, current and complete information about your business, contacts and delivery address, and keep it up to date.

2.4 You are responsible for all activity under your account, including activity by users you add as child users, and for keeping login details secure. Tell us immediately at info@natureshire.com if you suspect unauthorised use.

2.5 You confirm that you, your owners and your directors are not named on any Canadian, United States, United Nations or other applicable sanctions list, and that you will not buy Products for any person or destination subject to sanctions or trade restrictions.

3. Nature Shire’s role

3.1 Nature Shire sources Products from independent Canadian and other Sellers and makes them available to approved Buyers. For each Order, Nature Shire verifies your order with the Seller, issues the Final Invoice in its own name, collects your payment, coordinates export documents and shipping arrangements, and handles all communication between you and the Seller.

3.2 Products are produced, packed and labelled by the Sellers. Sellers are responsible to Nature Shire for the quality, safety and compliance of their Products, and Nature Shire handles claims with them on your behalf under section 10.

3.3 Listing a Product on The Shelf is an invitation to order, not an offer to sell. Availability, prices and specifications may change until your order is verified and the Final Invoice is issued.

4. Product information and samples

4.1 Product information on the Platform, including ingredients, allergens, shelf life, packaging, pallet configuration, weights, dimensions and certifications, is supplied by Sellers. Nature Shire checks listings before publishing them but cannot verify every detail. Images are for illustration and packaging may vary slightly.

4.2 Before ordering, you should check that the Products, their labelling and their certifications meet the requirements of your market. Ask Nature Shire for any specification sheet, certificate or other document you need.

4.3 Where a Seller accepts sample orders, you may order samples at the sample price shown. Sample orders follow the same verification, invoicing and payment steps as other Orders. Shipping and courier charges for samples are added to the Final Invoice.

4.4 Samples are representative of the Product but are supplied for evaluation only. A later bulk Order is governed by the listing and the Final Invoice for that Order.

5. Orders, verification and invoices

5.1 You place an order by adding Products to your cart, at or above each Product’s minimum order quantity, selecting your requirements (such as documents, labelling and Incoterms) and submitting the cart for verification. Submitting a cart does not create a binding contract and does not charge you.

5.2 Nature Shire then verifies the order with the Seller, including availability, quantities, documents and timing, and adds any freight, document, certificate, labelling, inspection or handling charges and any agreed discounts. We may adjust quantities to full cartons, layers or pallets, or decline an order in whole or part, and will tell you if we do.

5.3 When verification is complete, Nature Shire issues the Final Invoice. The estimated total shown in your cart is indicative only; the Final Invoice sets the binding price. A binding contract for the Order is formed when you pay the Final Invoice in full.

5.4 Unless stated otherwise, a Final Invoice is valid for 7 days. If it is not paid within that time, Nature Shire may cancel it or reissue it at updated prices or exchange rates.

5.5 Your Final Invoices, payment status and shipment tracking are available in your buyer panel.

6. Prices, currency, charges and taxes

6.1 Prices on The Shelf are per unit stated in the listing and include Nature Shire’s service margin. They do not include freight, insurance, documents, certificates, special labelling, inspection or handling charges, which are added to the Final Invoice where they apply.

6.2 Prices are quoted and invoiced in US dollars unless the Final Invoice states another currency. Where a Seller prices in another currency, Nature Shire converts at the exchange rate in use on the Platform at the time. Prices shown before the Final Invoice may change with exchange rates.

6.3 Unless the Final Invoice states otherwise, prices are FOB Vancouver (Incoterms 2020). Import duties, tariffs, taxes, customs clearance and destination charges are your responsibility unless included in the Final Invoice.

6.4 Prices exclude Canadian sales taxes. Exports of goods from Canada are generally zero-rated for GST/HST where the legal requirements are met. If any Canadian tax applies to a supply, it will be shown on the Final Invoice and you must pay it.

7. Payment by bank wire

7.1 You must pay each Final Invoice in full, in advance, by bank wire transfer to the Nature Shire bank account shown on the payment page of the Platform. Nature Shire does not currently accept card or online payments. We will never ask you by email to pay into a different account; if you receive such a request, do not pay and contact us at info@natureshire.com.

7.2 After sending the wire, you must submit the transfer details and a copy of the bank receipt through your buyer panel. Uploading a receipt does not mark the Order as paid. The Order is marked paid only when Nature Shire confirms that the full amount has been received in its account.

7.3 You must pay the full invoiced amount. All bank and intermediary charges on your side are for your account. If less than the full amount arrives, the Order will not proceed until the shortfall is paid.

7.4 Nature Shire releases an Order to the Seller for fulfilment only after confirming payment. Delivery dates run from that confirmation.

7.5 Nature Shire may, at its discretion, agree other payment terms with you in writing, such as a deposit with balance before shipment. Any such agreement applies only to the Orders it names.

8. Shipping, delivery, title and risk

8.1 The Incoterm for each Order is the one stated on the Final Invoice, and FOB Vancouver (Incoterms 2020) if none is stated. Delivery, the passing of risk, and the division of costs between you and Nature Shire follow that Incoterm.

8.2 Where you arrange your own freight, you must nominate your carrier or forwarder in time for the goods to be collected on the date Nature Shire gives you. Storage or demurrage caused by your delay is for your account.

8.3 Where Nature Shire arranges freight to your destination, as shown on the Final Invoice, we will book it with a reputable carrier and keep your tracker updated. Transit times are estimates and are not guaranteed.

8.4 Estimated readiness and shipping dates are given in good faith. Nature Shire is not liable for delays caused by carriers, ports, customs, inspections or events under section 14.

8.5 Title to the goods passes to you when Nature Shire confirms full payment of the Final Invoice, or on delivery under the applicable Incoterm, whichever is later.

8.6 If your Order calls for insurance, it will be shown on the Final Invoice. Otherwise, insuring the goods after risk passes to you is your responsibility.

9. Import compliance and documents

9.1 You are the importer of record and are responsible for complying with the laws of the destination country, including import permits and registrations, product registration, food safety approvals, labelling and language requirements, customs clearance, duties and taxes.

9.2 You must tell Nature Shire, when you submit your order, which documents, certificates, labels and barcodes the destination requires. Nature Shire will arrange for the Seller to supply the documents and labelling you request and that are included in the Final Invoice. Documents commonly supplied include a commercial invoice, packing list, certificate of origin, certificate of analysis, health certificate, phytosanitary certificate and halal certificate.

9.3 Nature Shire is not responsible for goods being refused, held or destroyed at the destination because of a requirement you did not tell us about, or because of a change in the destination’s rules after the Final Invoice was issued.

9.4 You will not re-export, resell or supply the Products to any person or destination in breach of Canadian, United States, United Nations or other applicable sanctions and export control laws.

10. Inspection, claims and returns

10.1 You must inspect the goods promptly on arrival at the destination and, in any case, within 7 days of the goods being made available to you there.

10.2 You must notify Nature Shire in writing through your buyer panel or at info@natureshire.com:

  • within 7 days of arrival, for shortages, visible damage, wrong products, incorrect labelling or missing documents; and
  • within 30 days of arrival, for hidden defects or non-conformity with the listing, the Final Invoice or an approved sample, that could not reasonably have been found on inspection.

10.3 Each claim must include the Order number, a description of the problem, photographs, and where relevant carrier or surveyor reports, lot or batch numbers and laboratory results. You must keep the affected goods, properly stored, until Nature Shire agrees how they will be handled.

10.4 Damage or loss after risk has passed to you under the Incoterm is a matter for you, the carrier and your insurer, and Nature Shire will help you obtain the documents you need to claim.

10.5 Where a claim is accepted, Nature Shire will, at its option and after consulting the Seller, replace the affected goods, supply missing goods or documents, or credit or refund the price of the affected goods and directly related freight. Goods may not be returned without Nature Shire’s written approval.

10.6 Claims not made within the periods in section 10.2 are treated as waived, except where the law does not allow this. Because food is perishable, defects caused by storage or handling after delivery, or by expiry after the stated shelf life, are not covered.

11. Cancellations and changes

11.1 You may cancel an order free of charge at any time before you pay the Final Invoice.

11.2 After payment, you may ask to cancel or change an Order by contacting Nature Shire. If the Seller has not yet started preparing the goods, we will cancel or change it and refund any difference, less bank charges. If preparation has started, we will refund the price less the costs already incurred or committed, including goods made or labelled specifically for you, documents, inspection and freight bookings. Goods with custom labelling or packaging cannot be cancelled once production of the labelling or packaging has started.

11.3 Nature Shire may cancel an Order, in whole or in part, if the Seller cannot supply it, if the goods become subject to a recall or safety concern, or if the Order would breach the law or sanctions. If we do, we will refund what you paid for the cancelled part. We are not liable for any other loss caused by the cancellation.

11.4 Refunds are paid by bank transfer to the account the payment came from, in the invoice currency, normally within 10 Business Days of the cancellation being agreed.

12. Communication through Nature Shire and non-circumvention

12.1 All communication about Products, samples, orders, documents, shipments and claims goes through Nature Shire. Nature Shire does not share Sellers’ contact details with you, and you must not try to obtain them or contact a Seller directly about Products found on the Platform, including through details that appear on packaging, labels or documents.

12.2 If a Seller you found through the Platform contacts you directly, you must refer them back to Nature Shire and tell us.

12.3 While your account is open and for 24 months after it closes, you must not, directly or through anyone else, buy from a Seller you were introduced to through the Platform, or from that Seller’s affiliates, except through Nature Shire.

12.4 If you breach section 12.3, you must pay Nature Shire, as a genuine pre-estimate of its lost income, an amount equal to the service margin Nature Shire would have earned had those purchases been made through the Platform, in addition to any other remedy available to us.

13. Use of the Platform, privacy, suspension and termination

13.1 You may use the Platform only to source Products for your business. You must not copy, scrape, resell or misuse Platform content, prices or Seller information, interfere with the Platform’s security, or use it for any unlawful purpose.

13.2 The Platform, its content, design and software, and the Nature Shire name and logo belong to Nature Shire or its licensors. Sellers’ trademarks and images belong to the Sellers.

13.3 Each party will keep confidential the other’s non-public business information, including prices, commercial terms and order details, and use it only for the purposes of these Terms.

13.4 Nature Shire handles personal information in line with its Privacy Policy and applicable Canadian privacy law, including the Personal Information Protection and Electronic Documents Act and British Columbia’s Personal Information Protection Act.

13.5 You may close your account at any time by contacting us, once all your paid Orders are complete.

13.6 Nature Shire may suspend or close your account immediately and without notice if you breach these Terms, give false information, fail to pay, try to bypass the Platform, or if required by law. We may also close your account for any other reason with 30 days’ notice. Paid Orders will be completed or refunded.

13.7 Sections 9, 10, 12, 13.3, 13.4 and 14 continue after your account closes, together with any other terms that by their nature are meant to continue.

14. Limits of liability, force majeure and general terms

14.1 Warranties. Nature Shire’s obligations for the quality and description of the goods are set out in section 10, and your remedies for non-conforming goods are those in section 10.5. To the extent permitted by law, all other warranties and conditions, express or implied, including those of merchantability or fitness for a particular purpose, are excluded. The Platform is provided “as is” and “as available”.

14.2 Exclusions. To the extent permitted by law, Nature Shire is not liable for loss of profit, revenue, business, goodwill or data, or for any indirect, special, incidental, punitive or consequential loss, including losses from resale contracts, market price changes, or goods refused at the destination.

14.3 Cap. Nature Shire’s total liability to you arising out of or in connection with an Order is limited to the amount you paid Nature Shire for that Order. Its total liability for any other matter under these Terms is limited to CAD $1,000.

14.4 Your indemnity. You will indemnify and hold harmless Nature Shire, Canuck Global Marketplace Limited and their directors, officers, employees and agents from any claim, loss, fine, penalty or expense, including reasonable legal fees, arising from your breach of these Terms, your breach of any import, customs, sanctions or other law, or the handling, storage, labelling or resale of the goods after delivery.

14.5 Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, sanctions, embargoes, tariffs, port or transport disruption, strikes, crop failure, or government action. The affected party must notify the other promptly and use reasonable efforts to limit the effect. If an event lasts more than 60 days, either party may cancel the affected Order, and Nature Shire will refund amounts paid for goods not yet shipped, less costs already incurred. This section does not excuse payment of a Final Invoice for goods already shipped.

14.6 Changes to these Terms. Nature Shire may update these Terms. We will notify you of material changes by email or in your buyer panel at least 30 days before they take effect. Changes do not affect Orders already paid. If you continue to use the Platform after a change takes effect, you accept the updated Terms.

14.7 Governing law and disputes. These Terms and every Order are governed by the laws of British Columbia and the federal laws of Canada that apply there. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties will first try to resolve any dispute by good-faith discussion for 30 days. Failing that, the courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction, and each party submits to them.

14.8 General. These Terms, together with each Final Invoice and any written payment terms agreed under section 7.5, are the entire agreement between us about their subject matter. If they conflict, the Final Invoice prevails for that Order. If any provision is unenforceable, the rest remain in force. A failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor to our business. Electronic acceptance, notices and records are valid. These Terms are written in English, and the English version prevails over any translation.

14.9 Notices and contact. Notices to Nature Shire must be sent to info@natureshire.com. Notices to you will be sent to the email address in your account.
