Nature Shire Seller Terms and Conditions
Last updated: 23 October 2026
1. Introduction and definitions
These Seller Terms and Conditions (the “Terms”) are a binding agreement between Canuck Global Marketplace Limited, a company of British Columbia, Canada, trading as Nature Shire (“Nature Shire”, “we”, “us” or “our”), and the business that registers as a seller on the Platform (the “Seller” or “you”). By ticking “I agree” at registration, or by listing any Product, you accept these Terms on behalf of your business and confirm that you are authorised to do so. If you do not agree, do not register or use the Platform.
In these Terms:
- “Platform” means the Nature Shire website at www.natureshire.com, its seller, buyer and admin panels, and related services.
- “Buyer” means a business approved by Nature Shire to source Products through the Platform.
- “Products” means the food, beverage and related goods you list on the Platform, including samples.
- “Seller Content” means all information and material you provide, including product data, specifications, packaging and pallet details, prices, images, logos, trademarks, brochures, certificates and documents.
- “Seller Offer Price” or “SOP” means the price per unit you set for a Product, excluding Nature Shire’s commission.
- “Buyer Price” means the price at which Nature Shire offers a Product to Buyers, being the SOP plus Nature Shire’s commission, converted to the invoice currency.
- “Order” means a Buyer’s order for Products that Nature Shire has verified and invoiced.
- “Engagement Term” has the meaning in section 12.
- “Business Day” means a day other than a Saturday, Sunday or statutory holiday in British Columbia.
The Platform is for business-to-business trade only. Headings are for convenience, and “including” means “including without limitation”.
2. Eligibility, account and approval
2.1 To register you must be a business that produces, owns, manufactures or is authorised to distribute the Products you list, and you must hold all licences required to make and sell them. You may not register as a consumer.
2.2 Every registration is reviewed by Nature Shire. We may approve, decline, suspend or close any account at our discretion. Until your account is approved you cannot list Products or receive Orders.
2.3 You must give accurate, current and complete information about your business, contacts, warehouse and Products, and keep it up to date. You must tell us promptly about any change of ownership, licence status or contact details.
2.4 You are responsible for all activity under your account, including activity by users you add as child users, and for keeping login details secure. Tell us immediately at info@natureshire.com if you suspect unauthorised use.
2.5 You confirm that you, your owners and your directors are not named on any Canadian, United States, United Nations or other applicable sanctions list.
3. Nature Shire’s role and services
3.1 Nature Shire acts as your export and sales representative. We market your Products to Buyers in international and domestic markets, verify Buyer orders, issue invoices to Buyers in our own name, collect payment, coordinate export documents and shipping arrangements, and pay you for Products sold.
3.2 You remain the producer or owner of the Products and are responsible for their quality, safety, legality, labelling and fitness for sale. Nature Shire does not manufacture, inspect for quality, or give any warranty about your Products, and does not take ownership of them unless we agree otherwise in writing for a specific transaction.
3.3 We decide which Buyers, markets and campaigns to pursue. We do not guarantee any volume of sales, any number of Orders, or that any Product will be listed or remain listed.
3.4 We may change, suspend or improve the Platform and our services at any time. We will try to give reasonable notice of changes that materially affect you.
4. Listings, product information and permission to edit
4.1 You may submit Products for listing through your seller panel. Each Product is reviewed by Nature Shire and goes live on The Shelf only after we approve and publish it. We may decline, unpublish or remove any listing at any time.
4.2 Your Seller Content must be accurate, complete and not misleading. This includes ingredients, allergens, nutritional information, shelf life, storage temperature, minimum order quantity, units per package, packages per layer and pallet configuration, dimensions, weights, certifications and country of origin. Buyers and Nature Shire rely on this information to price, order and ship.
4.3 You must update a listing promptly if any information changes, including availability, price, formulation, packaging or certification. Material changes to a published listing are reviewed again before going live.
4.4 Permission for Nature Shire to manage your listings. At registration, or at any time later in your seller panel, you may choose to allow Nature Shire to add or edit product listings on your behalf. This permission is optional, and you may switch it on or off at any time.
4.5 If you have given that permission, any listing Nature Shire adds or edits on your behalf is held in your seller panel as pending. It does not go live until you approve it. You may approve, change or delete it. You remain responsible for every listing you approve.
4.6 If you have not given that permission, Nature Shire will not add or edit your listings, except to correct an obvious error, to remove content that breaches these Terms or the law, or to unpublish a listing. We will tell you when we do so.
4.7 If you accept sample orders, you must set a sample price and supply samples that are representative of the Product in every respect.
5. Prices, commission and currency
5.1 You set the Seller Offer Price (SOP) for each Product, and the sample price if you accept samples, in Canadian or US dollars. The SOP is the amount you will receive per unit sold, and includes your packaging, palletising and delivery to the agreed handover point (section 6.5).
5.2 Nature Shire earns its income by adding a commission to the SOP to set the Buyer Price. The commission is a percentage or a fixed amount per unit, set by Nature Shire for each Product when it is published. You do not pay listing or subscription fees unless we agree them with you in writing.
5.3 Buyers are quoted and invoiced in the currency Nature Shire chooses, currently US dollars. Where your SOP is in another currency, Nature Shire converts it at the exchange rate in use on the Platform when the Buyer’s invoice is issued. You are paid the SOP in the currency you set (section 8), so currency movements between invoice and payment are borne by Nature Shire.
5.4 You may change your SOP for future Orders by updating the listing. A change does not affect Orders already verified or invoiced.
5.5 You must not offer the same Products to Buyers introduced through the Platform on more favourable terms outside the Platform (see section 9).
6. Orders, samples and fulfilment
6.1 Buyers submit orders to Nature Shire, not to you. Nature Shire verifies each order, adds any freight, document and handling charges, and issues the final invoice to the Buyer. An Order is released to you for fulfilment only after the Buyer’s payment has been received and confirmed by Nature Shire. Orders appear in your seller panel once released.
6.2 By listing a Product you agree to supply it to Buyers at the SOP, in quantities at or above the minimum order quantity you set, while the listing is published. If you cannot supply a released Order in full, you must tell Nature Shire within 2 Business Days of release.
6.3 Unless the Order states otherwise, you must have the goods packed, labelled, palletised and ready for collection or delivery within 15 Business Days of release, in the packaging and pallet configuration shown in the listing.
6.4 You must supply the goods with the documents required for the Order, as set out in section 7, by the time the goods are ready.
6.5 Unless Nature Shire tells you otherwise for an Order, you deliver the goods FOB Vancouver (Incoterms 2020) or to another handover point in Canada that Nature Shire names. Risk in the goods passes to the Buyer or carrier at the handover point under the applicable Incoterm. Until then the goods remain at your risk.
6.6 Sample orders follow the same steps, at the sample price. Samples must match the Product as listed.
6.7 You must keep Nature Shire informed of the status of each released Order, including packing, readiness and handover, and promptly upload or send any shipping and compliance documents we request.
7. Food safety, compliance, documents and labelling
7.1 You warrant that every Product you supply:
- is safe, of merchantable quality, and matches its listing and any sample;
- is produced, packed, stored and handled in compliance with the Safe Food for Canadians Act and Regulations, the Food and Drugs Act and Regulations, and all other applicable Canadian laws;
- has at least the remaining shelf life stated in the listing, or if none is stated, at least two-thirds of its total shelf life, on the date it is handed over;
- is free of undeclared allergens, contamination and adulteration;
- does not infringe any third party’s rights.
7.2 You must hold and keep valid every licence, registration and certification your Products need, including any Safe Food for Canadians licence. Any certification you claim in a listing (for example organic, halal, kosher or non-GMO) must be current and issued by a recognised body.
7.3 For each Order you must supply, accurately and on time, the documents that apply to the Products and the destination, which may include a commercial invoice, packing list, certificate of origin, certificate of analysis, health or sanitary certificate, phytosanitary certificate, halal or other certificates, and any export certificate issued by the Canadian Food Inspection Agency.
7.4 If a Buyer requests destination-specific labelling, language labelling or barcodes and you agree to provide them, you are responsible for their accuracy. Nature Shire will pass on the Buyer’s requirements, but the destination’s import and labelling rules are the Buyer’s responsibility unless you have agreed in writing to meet them.
7.5 You must not supply any Product that is subject to a recall, regulatory hold or safety concern, and you must tell Nature Shire immediately if you become aware of any such issue affecting a listed or supplied Product.
7.6 You will comply with all applicable export control and sanctions laws and will not supply Products for any destination or party that Nature Shire tells you is restricted.
8. Payment to the Seller
8.1 For each Order, you will invoice Nature Shire for the SOP multiplied by the quantity supplied, plus any charges Nature Shire has agreed in writing to pay you for that Order.
8.2 Nature Shire will pay your invoice within 15 Business Days after the later of: (a) handover of the complete Order at the agreed point with all required documents; and (b) receipt of your correct invoice. The Buyer pays Nature Shire before an Order is released to you, so you do not bear the risk of Buyer non-payment for released Orders.
8.3 Payment is made by bank transfer, in the currency of your SOP, to the business bank account in your seller profile. Each party bears its own bank charges. Nature Shire is not responsible for delays caused by incorrect bank details.
8.4 Nature Shire may withhold or set off from any payment amounts reasonably needed to cover a Buyer claim for shortage, damage, non-conformity or late delivery that is your responsibility, until the claim is resolved under section 10, and any other amount you owe us.
8.5 You are responsible for your own taxes. Prices are exclusive of GST, HST, PST or other sales taxes. Where tax applies to a supply you make to Nature Shire, you must show it on your invoice and be registered for it. Supplies of goods for export may be zero-rated where the legal requirements are met, and you must give us any information we reasonably need for that.
9. Communication through Nature Shire and non-circumvention
9.1 All communication about Buyers, enquiries, Orders, samples, documents and shipments goes through Nature Shire. Nature Shire does not share Buyers’ contact details with you, and you must not try to obtain them or contact a Buyer directly, including through details that appear on shipping documents or packaging.
9.2 If a Buyer introduced through the Platform contacts you directly, you must refer the Buyer back to Nature Shire and tell us.
9.3 During the Engagement Term and for 24 months after it ends, you must not, directly or through anyone else, sell or offer any products to a Buyer introduced to you through the Platform, or to that Buyer’s affiliates, except through Nature Shire.
9.4 If you breach section 9.3, you must pay Nature Shire, as a genuine pre-estimate of its lost income, an amount equal to the commission Nature Shire would have earned had those sales been made through the Platform, for each sale made during the restricted period, in addition to any other remedy available to us.
10. Claims, recalls, insurance and indemnity
10.1 Buyer claims. If a Buyer makes a claim under the Buyer Terms for shortage, damage before handover, non-conformity with the listing or sample, short shelf life, missing or incorrect documents, or late readiness, Nature Shire will send you the claim and its evidence. You must respond within 5 Business Days. Where the cause is your responsibility, you will, at Nature Shire’s choice, replace the goods, supply the missing goods or documents, or refund or credit the affected amount, together with reasonable costs of freight, storage, destruction or re-export caused by the problem.
10.2 Recalls. If a recall, withdrawal or regulatory action affects a Product you have supplied, you will carry it out at your cost, cooperate with Nature Shire, the Buyer and the authorities, and reimburse the reasonable costs Nature Shire and the Buyer incur because of it.
10.3 Insurance. You must hold commercial general liability insurance, including product liability cover, with a reputable insurer, of at least CAD $2,000,000 per occurrence, and give Nature Shire a certificate of insurance on request.
10.4 Indemnity. You will indemnify and hold harmless Nature Shire, Canuck Global Marketplace Limited and their directors, officers, employees and agents from any claim, loss, liability, fine, penalty or expense, including reasonable legal fees, arising from: your Products, including any illness, injury, contamination or recall; your Seller Content; any infringement of a third party’s rights; your breach of these Terms; or your breach of any law.
11. Intellectual property, confidentiality and data
11.1 You keep ownership of your trademarks, logos, images and other Seller Content. You grant Nature Shire and Canuck Global Marketplace Limited a worldwide, royalty-free, non-exclusive licence, with the right to sub-license to service providers and Buyers, to use, reproduce, display, adapt, translate and distribute your Seller Content to list, market, promote and sell your Products, including in Nature Shire’s own promotional and portfolio materials and on social media. The licence lasts for the Engagement Term and afterwards only as needed to complete Orders and campaigns already in progress.
11.2 You confirm you own or have licensed all Seller Content, including photography and third-party material, for this use.
11.3 The Platform, its design, software, data and the Nature Shire name and logo belong to Nature Shire or its licensors. You may not copy, scrape or reverse-engineer the Platform.
11.4 Each party will keep confidential the other’s non-public business information, including Buyer identities, prices, commissions and order details, and use it only for the purposes of these Terms. This does not apply to information that is public, already known to the receiving party, or required to be disclosed by law.
11.5 Nature Shire handles personal information in line with its Privacy Policy and applicable Canadian privacy law, including the Personal Information Protection and Electronic Documents Act and British Columbia’s Personal Information Protection Act. You must handle any personal information you receive through the Platform in the same way.
12. Engagement Term, suspension and termination
12.1 Engagement Term. By listing a Product, you give Nature Shire the right to market and sell that Product for 2 years from the date it is first published (the “Engagement Term”). The Engagement Term may be renewed for further periods with your written consent, which we will ask for before it ends.
12.2 Withdrawal by you. You may withdraw a Product, or close your account, by giving Nature Shire at least 6 months’ written notice. During the notice period these Terms continue to apply, and Nature Shire may continue to market and sell the affected Products.
12.3 Suspension or termination by us. Nature Shire may suspend or close your account, or unpublish any listing, immediately and without notice if you breach these Terms, supply unsafe or non-compliant Products, give false information, try to bypass the Platform, or if required by law. We may also close your account for any other reason with 30 days’ notice.
12.4 Effect. Orders released to you before termination must still be fulfilled and will be paid in the usual way. Sections 7, 9, 10, 11, 12.4 and 13 continue after termination, together with any other terms that by their nature are meant to continue.
13. Limits of liability, force majeure and general terms
13.1 Disclaimer. The Platform is provided “as is” and “as available”. To the extent permitted by law, Nature Shire gives no warranty that the Platform will be uninterrupted or error-free, or that any sales will result from it.
13.2 Exclusions. To the extent permitted by law, Nature Shire is not liable for: loss of profit, revenue, business, goodwill or data; any indirect, special, incidental, punitive or consequential loss; the acts, omissions or insolvency of carriers, Buyers or other third parties; or delays and losses in shipping, customs or logistics outside our control.
13.3 Cap. Nature Shire’s total liability to you for all claims arising out of or in connection with these Terms in any 12-month period is limited to the total commission Nature Shire earned on sales of your Products in the 12 months before the event giving rise to the claim. This cap does not apply to Nature Shire’s obligation to pay you for Orders under section 8.
13.4 Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, sanctions, embargoes, tariffs, port or transport disruption, strikes, or government action. The affected party must notify the other promptly and use reasonable efforts to limit the effect. Payment obligations for goods already delivered are not excused.
13.5 Changes to these Terms. Nature Shire may update these Terms. We will notify you of material changes by email or in your seller panel at least 30 days before they take effect. Changes do not affect Orders already released. If you continue to use the Platform after a change takes effect, you accept the updated Terms.
13.6 Governing law and disputes. These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The parties will first try to resolve any dispute by good-faith discussion for 30 days. Failing that, the courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction, and each party submits to them.
13.7 General. These Terms, together with any written commercial schedule we agree with you and any Product-specific terms presented when you list a Product, are the entire agreement between us about their subject matter. If any provision is unenforceable, the rest remain in force. A failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor to our business. Nothing in these Terms creates a partnership, joint venture or employment relationship. Electronic acceptance, notices and records are valid. These Terms are written in English, and the English version prevails over any translation.
13.8 Notices and contact. Notices to Nature Shire must be sent to info@natureshire.com. Notices to you will be sent to the email address in your account.
